Terms of Service

1. Acceptance of terms

By creating an account on Assembley, you agree to these Terms of Service. If you do not agree, you may not use the platform. These terms are governed by Danish law.

2. Description of service

Assembley provides a digital platform for conducting general assemblies, board meetings, and elections. The platform enables secure voting, real-time results, and governance documentation for Danish associations and companies.

3. Account responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete information when creating your account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account.

4. Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of Danish law
  • Attempt to gain unauthorised access to other organisations data
  • Submit false or fraudulent votes
  • Interfere with the integrity of any assembly or election conducted on the platform
  • Reverse engineer or attempt to extract the source code of the platform

5. Data processing

When you use Assembley on behalf of an organisation, you act as a data controller for your members personal data. Assembley acts as a data processor. A Data Processing Agreement (DPA) is available upon request at legal@assembley.dk.

6. Legal compliance

Assembley is designed to support compliance with Danish governance requirements including Selskabsloven and foreningsret. However, you are responsible for ensuring that your use of the platform meets all applicable legal requirements. Assembley does not provide legal advice.

7. Availability

We aim to provide a reliable service but do not guarantee 100% uptime. We are not liable for losses resulting from service interruptions.

8. Limitation of liability

To the maximum extent permitted by Danish law, Assembley shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the amount paid for the service in the preceding 12 months.

9. Termination

You may terminate your account at any time by contacting support@assembley.dk. Upon termination, your data will be handled in accordance with our Privacy Policy.

10. Governing law

These terms are governed by Danish law. Any disputes shall be resolved in the courts of Denmark.
